Terms of Service

1. Acceptance of Terms

By creating an account, accessing the Service, or using any part of our platform, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Rivet provides an automated construction billing platform designed for subcontractors. The Service includes:

• AIA G702/G703 form processing and generation
• Schedule of Values management
• Retainage tracking and reporting
• Progress billing automation
• Change order workflow management
• Lien waiver generation and tracking
• Integration with QuickBooks Online and Xero

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your login credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

4. Subscription and Payment

Subscription Plans

Rivet offers subscription-based pricing. Current plans and pricing are available on our Pricing page. We reserve the right to modify pricing with 30 days' notice.

Billing

Subscription fees are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize us to charge your payment method for recurring fees until you cancel.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

Refunds

Subscription fees are non-refundable except as required by applicable law. If you believe you are entitled to a refund, contact us at support@slpwlk.io.

5. Acceptable Use

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Upload documents containing malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit content that is illegal, defamatory, or fraudulent
• Resell, sublicense, or redistribute the Service without written permission
• Use automated means (bots, scrapers) to access the Service without permission

6. Your Content and Data

Ownership

You retain all ownership rights to the documents, data, and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

License to Us

By uploading Your Content, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to provide the Service to you. This license terminates when you delete Your Content or close your account.

Your Responsibilities

You are solely responsible for the accuracy and legality of Your Content. You represent that you have all necessary rights to upload and use Your Content with the Service.

7. Third-Party Integrations

The Service integrates with third-party platforms including QuickBooks Online and Xero. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or performance of third-party services.

By connecting a third-party account, you authorize us to access and sync data between the Service and that platform in accordance with our Privacy Policy.

8. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by SLPWLK LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy of any calculations, document parsing, or data synchronization performed by the Service.

Important: The Service is a tool to assist with construction billing. It does not provide legal, accounting, or tax advice. You are responsible for verifying all outputs and should consult qualified professionals for legal and financial matters.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLPWLK LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SLPWLK LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

By You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your right to use the Service ceases immediately.

By Us

We may suspend or terminate your access to the Service immediately and without notice if we believe you have violated these Terms, pose a security risk, or for any other reason at our sole discretion.

Effect of Termination

Upon termination, we will delete Your Content within 30 days, except as required for legal compliance or as specified in our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including Sections 8-11, 13, and 14.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

Before initiating legal action, you agree to attempt to resolve disputes informally by contacting us at legal@slpwlk.io.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rivet regarding the Service.

Modifications

We may modify these Terms at any time by posting the revised Terms on this page. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
